AGREEMENT TO THESE TERMS

Purchases of digital products, courses, memberships, subscriptions, and other paid products or services may also be subject to our separate Terms of Service, together with any additional terms disclosed on the applicable sales page or checkout page.

You must be at least eighteen (18) years old to make purchases, create an account, or otherwise use portions of the Website intended for adult users.
By using those portions of the Website, you represent that you are at least 18 years old and legally capable of agreeing to these Terms.
Our products and services are designed primarily for educators and other adult users and are not intended to be purchased directly by minors.

This license is provided solely for your personal, professional, educational, and individual classroom use, as applicable.
Nothing in these Terms transfers ownership of the Website, Content, intellectual property, or other Company materials to you.
Any rights not expressly granted to you are reserved by Algebra Made Simple LLC.
5. INTELLECTUAL PROPERTY
The Website and its Content are owned by or licensed to Algebra Made Simple LLC and may be protected by copyright, trademark, and other intellectual property laws.
This includes, where applicable, our:
- educational resources;
- teaching materials;
- guided notes;
- practice activities;
- digital activities;
- games;
- assessments;
- templates;
- professional development materials;
- videos and trainings;
- graphics and photographs;
- written content;
- website designs;
- logos;
- trademarks; and
- other original materials.
You may not reproduce, republish, distribute, sell, sublicense, publicly post, commercially exploit, or create unauthorized derivative works from our Content without our prior written permission, except as expressly permitted by these Terms or by the license accompanying a particular product or resource.
Classroom Use
Educational resources specifically provided for classroom use may be used with students you personally teach, subject to the applicable product or resource license.
Permitted classroom use may include printing, displaying, assigning, or distributing applicable resources to students you personally teach.
Unless expressly authorized by us, you may not:
- share purchased resources with other teachers;
- share membership login credentials;
- upload resources to shared school, department, or district drives for use by other educators;
- distribute editable or source files to other educators;
- upload resources to publicly accessible websites or repositories;
- resell or redistribute resources;
- post resources on marketplaces;
- use our resources to create competing commercial products; or
- claim our Content as your own.
If a school, department, district, organization, or other group wishes to provide our resources to multiple educators, additional licenses may be required.

6. ACCEPTABLE USE
You agree to use the Website only for lawful purposes and in accordance with these Terms.
You agree not to use the Website or its Content in a manner that could damage, disable, overburden, impair, interfere with, or compromise the Website, our business, or another user's ability to use the Website.

- harass, abuse, threaten, or unlawfully discriminate against another person;
- violate our intellectual property rights or the rights of any third party;

These offerings may include Math Access Squad and other products or services made available from time to time.
Descriptions, pricing, included resources, bonuses, features, availability, and other offer details will be provided on the applicable sales or checkout page.
We make reasonable efforts to describe our products and services accurately. However, resource libraries, membership features, bonuses, trainings, and other digital offerings may be updated, reorganized, expanded, replaced, or discontinued over time.
Purchases are also governed by our Terms of Service and any specific terms presented to you at the time of purchase.
If there is a conflict between these general Terms of Use and specific purchase terms presented at checkout, the purchase-specific terms will govern that transaction to the extent of the conflict.
10. DIGITAL PRODUCT DELIVERY, SUBSCRIPTIONS, CANCELLATIONS, AND REFUNDS
Our products and services are primarily digital and are generally delivered electronically through downloads, email, online courses, membership portals, or other digital platforms.
For digital products, your payment method may be charged when your purchase is completed and access is made available.
Recurring memberships or subscriptions will be billed according to the price and billing frequency disclosed at checkout.
Recurring subscriptions will continue and automatically renew unless canceled in accordance with the applicable subscription terms.
You may cancel a recurring membership to prevent future renewal charges. Unless otherwise stated or required by applicable law, cancellation does not provide a refund for a payment that has already been processed, and access will generally continue through the end of the current paid subscription term.
Because our digital products, memberships, courses, trainings, templates, and resources provide immediate access to digital Content, all sales are final and payments are non-refundable except where otherwise required by applicable law or expressly stated in writing at the time of purchase.
Specific offers may have different refund, cancellation, or guarantee terms. When an offer expressly provides different terms on its sales or checkout page, those specific terms will apply to that purchase.

11. ACCOUNT SECURITY

22. NO WARRANTIES

WE DO NOT WARRANT THAT:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALGEBRA MADE SIMPLE LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR CONTENT, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE WILL NOT EXCEED THE AMOUNT YOU PAID TO ALGEBRA MADE SIMPLE LLC DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

24. GOVERNING LAW
These Terms and your use of the Website are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
25. DISPUTE RESOLUTION
Informal Resolution
Before initiating arbitration, the parties agree to first attempt in good faith to resolve disputes arising from or relating to these Terms informally for at least thirty (30) days following written notice of the dispute.
Binding Arbitration
If a dispute cannot be resolved through informal negotiations, the dispute, except for disputes expressly excluded below, will be resolved through binding arbitration.
YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU MAY OTHERWISE HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
Arbitration shall be conducted under the applicable rules of the American Arbitration Association ("AAA"), including applicable consumer rules where appropriate.
Arbitration fees and arbitrator compensation will be governed by applicable AAA rules and applicable law.
Arbitration may be conducted in person, through written submissions, by telephone, video conference, or online where permitted.
Except where otherwise required by applicable law or applicable arbitration rules, arbitration will take place in Polk County, Florida.
If a dispute is permitted to proceed in court rather than arbitration, the parties consent to jurisdiction and venue in the applicable state or federal courts located in Florida, subject to applicable law.
To the extent permitted by law, arbitration will be conducted on an individual basis and not as a class, collective, consolidated, or representative proceeding.
Disputes seeking to enforce or protect intellectual property rights, disputes arising from theft, piracy, unauthorized access or use, and claims seeking injunctive relief where permitted by law may be excluded from the informal negotiation and arbitration requirements.
26. ASSIGNMENT
You may not assign, sell, lease, transfer, or otherwise transfer your rights under these Terms without our prior written consent.
We may assign our rights and obligations under these Terms where permitted by applicable law.
These Terms will bind and benefit permitted successors and assigns.
27. SEVERABILITY
If any provision or portion of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
28. NO WAIVER
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
A waiver of one provision does not constitute a waiver of another provision.
29. HEADINGS
Section headings are provided for convenience and organization only and do not affect the interpretation of these Terms.
30. NO AGENCY, PARTNERSHIP, OR JOINT VENTURE
Nothing in these Terms creates an agency, partnership, joint venture, employment, fiduciary, or other similar relationship between you and Algebra Made Simple LLC.
Neither party has authority to bind the other except as expressly agreed in writing.
31. FORCE MAJEURE
To the fullest extent permitted by law, we will not be liable for delay or failure to perform resulting from circumstances beyond our reasonable control.
Such circumstances may include natural disasters, severe weather, government actions, civil disturbances, labor disruptions, internet or telecommunications failures, hosting or platform outages, cybersecurity incidents, utility failures, or other unforeseen events beyond our reasonable control.
32. ELECTRONIC COMMUNICATIONS
You consent to receiving communications related to your use of the Website, purchases, accounts, or Services electronically where permitted by applicable law.
Electronic communications, notices, agreements, disclosures, and records may satisfy requirements that such communications be in writing to the extent permitted by law.
