AGREEMENT TO OUR LEGAL TERMS

We are Algebra Made Simple ("Company," "we," "us," or "our").We operate the website workshops.algebramadesimple.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").Math Access Squad is a monthly or annual subscription-based membership designed to support 6th Grade, 7th Grade, 8th Grade, and Algebra 1 math teachers with ready-to-use instructional resources, scaffolded materials, engaging practice activities, classroom tools, and professional development.Members may receive access to a growing library of teaching materials, including guided notes, scaffolded and leveled practice, warm-ups, exit tickets, error analysis activities, assessments, mastery and intervention resources, small-group resources, digital activities, games, test-prep materials, classroom resources, editable templates, planning tools, and other instructional supports.Depending on the membership plan purchased, members may also receive access to professional development trainings, implementation tools, bonus templates, and other resources identified on the applicable sales or checkout page at the time of purchase.Resources are delivered through a secure membership portal and are intended for individual classroom use only unless otherwise expressly stated. 1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or would subject us to any registration requirement within such jurisdiction or country.Accordingly, persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws apply.The Services are not tailored to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), or similar requirements. If your interactions would be subject to such laws, you may not use the Services in a manner that would cause us to become subject to those requirements.You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).


2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, educational resources, instructional materials, templates, and other materials made available through the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").Our Content and Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws and treaties in the United States and around the world.The Content and Marks are provided in or through the Services for your personal, non-commercial use and individual classroom use as expressly permitted by these Legal Terms.

Your Use of Our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

  • access the Services; and
  • download or print copies of Content to which you have properly gained access,

solely for your personal, non-commercial use and individual classroom use unless a particular resource expressly provides otherwise.Except as expressly permitted in these Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, shared, or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.Your membership and account are intended for your individual use. You may not share your login credentials or provide other teachers, schools, departments, organizations, or third parties with access to membership Content unless we expressly authorize such use in writing or the applicable product license expressly permits it.If you wish to make any use of the Services, Content, or Marks other than as permitted in these Legal Terms, please contact stephanie@algebramadesimple.com.If we grant permission to post, reproduce, or publicly display any portion of our Services or Content, you must identify us as the owner or licensor of the applicable Services, Content, or Marks and ensure that any copyright or proprietary notice remains visible.We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.Any breach of these Intellectual Property Rights may constitute a material breach of these Legal Terms and may result in immediate termination of your right to use the Services.

Your Submissions and Contributions

Submissions

By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree that we may use such Submission for lawful business purposes without acknowledgment or compensation to you, subject to applicable law.

Contributions

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online communities, forums, or other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content or materials ("Contributions").Contributions may be viewable by other users of the Services.By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid, worldwide right and license to use, copy, reproduce, distribute, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, excerpt, and otherwise use your Contributions for lawful purposes, including commercial and promotional purposes, and to prepare derivative works of or incorporate such Contributions into other works, subject to applicable law.This license may include use of your name, company name, trademarks, logos, image, and voice when those materials are included in a Contribution you voluntarily provide.

You Are Responsible for What You Post or Upload

By sending Submissions or posting Contributions, you represent that:

  • you will not post illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful, or misleading material;
  • you have the rights and permissions necessary to submit the material;
  • the material does not infringe the intellectual property or other rights of a third party;
  • the material does not contain confidential information you do not have permission to disclose; and
  • your Submission or Contribution complies with applicable law and these Legal Terms.

You are solely responsible for your Submissions and Contributions.We reserve the right, but have no obligation, to remove or edit Contributions if we reasonably believe they violate these Legal Terms or applicable law. We may also suspend or disable an account when appropriate.

Copyright Infringement

We respect the intellectual property rights of others. If you believe material available through the Services infringes a copyright you own or control, please refer to Section 15, "COPYRIGHT INFRINGEMENTS."


3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. all registration information you submit will be true, accurate, current, and complete;
  2. you will maintain the accuracy of such information and promptly update it as necessary;
  3. you have the legal capacity to agree to these Legal Terms;
  4. you are not a minor in the jurisdiction in which you reside;
  5. you will not access the Services through automated or non-human means except as expressly authorized by us;
  6. you will not use the Services for any illegal or unauthorized purpose; and
  7. your use of the Services will not violate any applicable law or regulation.

If information you provide is untrue, inaccurate, not current, or incomplete, we reserve the right to suspend or terminate your account and refuse current or future use of the Services.


4. USER REGISTRATION

You may be required to register to use the Services.You agree to keep your password confidential and are responsible for use of your account and password.Membership accounts are intended for use by the registered member and may not be shared with other individuals unless expressly authorized by us.We reserve the right to remove, reclaim, or change a username if we determine that it is inappropriate, obscene, misleading, or otherwise objectionable.


5. PRODUCTS

All products and Services are subject to availability.We reserve the right to add, modify, replace, or discontinue products, resources, bonuses, trainings, or other components of the Services at any time.Prices for products and Services are subject to change.Changes to subscription pricing will be handled as described in Section 7.


6. PURCHASES AND PAYMENT

We accept the following forms of payment:

You agree to provide current, complete, and accurate purchase and account information for purchases made through the Services.You agree to promptly update account and payment information, including your email address, payment method, and payment card expiration date, so we can complete transactions and contact you as needed.Applicable sales tax may be added to purchases as required by law.All payments shall be in U.S. dollars unless otherwise expressly stated.You agree to pay all charges at the prices displayed and agreed to at the time of purchase, together with applicable taxes or fees. You authorize us and our payment processors to charge your selected payment method for those amounts.For subscription purchases, this authorization includes recurring charges according to the billing frequency disclosed to you at checkout until the subscription is canceled in accordance with these Legal Terms.We reserve the right to correct errors or mistakes in pricing or product information.We reserve the right to refuse, limit, or cancel an order where reasonably necessary, including orders that appear to involve unauthorized resale, account sharing, fraud, or misuse of the Services.


7. SUBSCRIPTIONS

Billing and Renewal

Math Access Squad may be offered through monthly and annual subscription options.The specific price, billing frequency, and benefits associated with your membership will be displayed on the applicable sales or checkout page at the time you purchase.By purchasing a recurring Math Access Squad membership, you authorize us to charge your selected payment method automatically according to the billing cycle you selected.Your subscription will continue and automatically renew unless canceled.If you purchase a monthly membership, your payment method will generally be charged each month at the applicable membership rate until you cancel.If you purchase a yearly membership or Yearly Pass, your payment method will generally be charged annually at the applicable membership rate until you cancel.Any promotional, discounted, or special pricing will be governed by the terms presented to you at the time of purchase.

Cancellation

You may cancel your subscription at any time through your account or by using another cancellation method we make available.Cancellation prevents future renewal charges.Cancellation does not immediately terminate access to your membership. You will retain access through the end of your current paid subscription term.For example, if you cancel a monthly membership after your monthly payment has been processed, you will continue to have access through the remainder of that paid monthly billing period.If you cancel a yearly membership after your annual payment has been processed, you will continue to have access through the remainder of that paid annual term.Canceling a membership does not result in a prorated refund for unused time remaining in the current paid term.If you have questions about cancellation or the Services, contact stephanie@algebramadesimple.com.

Fee Changes

We may change subscription fees from time to time.Any changes to recurring subscription pricing will be communicated and handled in accordance with applicable law and any pricing terms applicable to your membership.


8. REFUNDS POLICY

Because Math Access Squad and our other digital products provide immediate access to digital resources, downloads, trainings, templates, and/or membership materials, all sales are final and payments are non-refundable except where otherwise required by applicable law or expressly stated in writing at the time of purchase.For recurring memberships, you may cancel at any time to prevent future renewal charges.Cancellation does not provide a refund or prorated credit for amounts already paid. You will retain access to Math Access Squad through the end of your current paid subscription term unless your access is terminated because of a violation of these Legal Terms.


9. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available.The Services may not be used in connection with commercial endeavors except those specifically endorsed or approved by us.As a user of the Services, you agree not to:

  • systematically retrieve data or Content from the Services to create or compile a collection, compilation, database, directory, resource library, or competing product without written permission from us;
  • share, distribute, resell, sublicense, or otherwise provide membership resources or login credentials to unauthorized users;
  • trick, defraud, or mislead us or other users, including attempts to obtain sensitive account information;
  • circumvent, disable, or interfere with security-related features of the Services;
  • use information obtained from the Services to harass, abuse, or harm another person;
  • make improper use of support services or submit false reports of abuse or misconduct;
  • use the Services in a manner inconsistent with applicable laws or regulations;
  • engage in unauthorized framing of or linking to the Services;
  • upload or transmit viruses, Trojan horses, malicious code, or other material that interferes with the operation or use of the Services;
  • engage in unauthorized automated use of the Services, including data mining, scraping, robots, or similar tools;
  • delete copyright or proprietary rights notices from Content;
  • impersonate another user or person;
  • interfere with, disrupt, or create an undue burden on the Services or networks connected to the Services;
  • harass, intimidate, or threaten employees or agents providing any portion of the Services;
  • attempt to bypass measures designed to prevent or restrict access to the Services;
  • copy or adapt software used in connection with the Services except as permitted by applicable law;
  • decipher, decompile, disassemble, or reverse engineer software comprising any part of the Services except where permitted by applicable law;
  • use a buying or purchasing agent to make unauthorized purchases;
  • collect usernames or email addresses for unsolicited communications;
  • create accounts through automated means or under false pretenses;
  • use the Services or Content to create, market, or sell competing educational resources or other commercial products without our written permission;
  • use the Services to advertise or offer unrelated goods or services without authorization; or
  • sell or otherwise transfer your profile or membership account.

10. USER GENERATED CONTRIBUTIONS

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, communities, or other functionality.You may have the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast text, writings, video, audio, photographs, graphics, comments, suggestions, or other materials ("Contributions").Contributions may be viewable by other users or through third-party websites. Contributions you transmit may therefore be treated as non-confidential and non-proprietary.When you create or make Contributions available, you represent and warrant that:

  • your Contributions do not infringe copyrights, patents, trademarks, trade secrets, moral rights, or other proprietary rights of any third party;
  • you own or have the necessary licenses, rights, consents, releases, and permissions to use and authorize use of your Contributions as contemplated by these Legal Terms;
  • you have permission from identifiable individuals included in your Contributions where permission is legally required;
  • your Contributions are not false, inaccurate, or misleading;
  • your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, or mass mailings;
  • your Contributions are not obscene, violent, harassing, defamatory, abusive, or otherwise unlawful;
  • your Contributions do not unlawfully ridicule, intimidate, threaten, or abuse another person;
  • your Contributions do not violate applicable laws, regulations, or rules;
  • your Contributions do not violate third-party privacy or publicity rights;
  • your Contributions do not contain unlawful material involving minors; and
  • your Contributions do not otherwise violate these Legal Terms.

Violation of these requirements may result in termination or suspension of your rights to use the Services.


11. CONTRIBUTION LICENSE

By posting Contributions to the Services, you grant us, to the extent permitted by applicable law, a non-exclusive, transferable, royalty-free, fully paid, worldwide license to host, use, copy, reproduce, disclose, publish, display, reformat, translate, transmit, excerpt, and distribute such Contributions for purposes related to operating, promoting, and improving the Services.Where applicable, this may include your image, voice, name, company name, or other information voluntarily included in your Contribution.You retain ownership of your Contributions and intellectual property rights associated with them.You are solely responsible for your Contributions and the statements or representations contained within them.We reserve the right, but not the obligation, to edit, redact, recategorize, pre-screen, or delete Contributions where reasonably necessary to operate the Services or enforce these Legal Terms.


12. GUIDELINES FOR REVIEWS

We may provide areas on the Services where users can leave reviews or ratings.When posting a review, you agree that:

  1. you have firsthand experience with the product, Service, person, or entity being reviewed;
  2. your review will not contain unlawful, abusive, threatening, discriminatory, or hateful material;
  3. your review will not contain unlawful discriminatory references;
  4. your review will not promote or encourage illegal activity;
  5. you will disclose material relationships where required by applicable law;
  6. you will not knowingly make false or misleading statements; and
  7. you will not organize fraudulent or deceptive campaigns intended to manipulate reviews.

We may accept, reject, or remove reviews in our discretion subject to applicable law.Reviews do not necessarily represent our opinions or the views of our affiliates or partners.By submitting a review, you grant us a non-exclusive, worldwide, royalty-free license to reproduce, display, distribute, and otherwise use the review in connection with the Services and our marketing, subject to applicable law.


13. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

  1. monitor the Services for violations of these Legal Terms;
  2. take appropriate action against anyone who violates applicable law or these Legal Terms;
  3. refuse, restrict, limit, or disable access to Contributions or Content where appropriate;
  4. remove files or Content that are excessively burdensome to our systems; and
  5. otherwise manage the Services in a manner designed to protect our rights and property and facilitate proper functioning of the Services.

14. PRIVACY POLICY

We care about data privacy and security.Please review our Privacy Policy at:https://workshops.algebramadesimple.com/privacy-policyBy using the Services, you agree to our Privacy Policy, which is incorporated into these Legal Terms.The Services are hosted in the United States.If you access the Services from another region with laws or requirements governing personal data collection, use, or disclosure that differ from those applicable in the United States, your information may be transferred to and processed in the United States, subject to applicable law and our Privacy Policy.


15. COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others.If you believe that material available on or through the Services infringes a copyright you own or control, please notify us using the contact information provided below.Your notification should contain the information required under applicable copyright law.Please be advised that you may be held liable for damages under applicable law if you knowingly make material misrepresentations regarding alleged copyright infringement.If you are unsure whether material infringes your copyright, you should consider consulting an attorney.


16. TERM AND TERMINATION

These Legal Terms remain in full force and effect while you use the Services.To the fullest extent permitted by applicable law, we reserve the right to deny access to or use of the Services to any person who violates these Legal Terms, applicable law, or the rights of Algebra Made Simple or another person.We may suspend or terminate your account or participation in the Services when reasonably necessary to protect the Services, enforce these Legal Terms, address unlawful conduct, prevent fraud or abuse, or protect our intellectual property and other users.If your account is terminated or suspended for violation of these Legal Terms, you may not attempt to circumvent that suspension or termination by creating another account under a different or borrowed identity.We reserve all rights and remedies available under applicable law.


17. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove Content from the Services from time to time.Math Access Squad is a growing membership, and the specific resources, trainings, bonuses, features, and organization of the membership library may change over time.We may add, update, replace, reorganize, or discontinue individual resources or features as the membership evolves.We also reserve the right to modify, suspend, or discontinue all or part of the Services subject to applicable law.We cannot guarantee that the Services will be available at all times. Hardware, software, third-party platforms, maintenance, technical problems, or circumstances beyond our control may result in interruptions, delays, or errors.To the fullest extent permitted by law, we are not responsible for loss or inconvenience resulting solely from temporary downtime or interruptions beyond our reasonable control.Nothing in these Legal Terms obligates us to indefinitely maintain a particular resource, feature, training, platform, or piece of Content unless expressly agreed otherwise in writing.


18. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Florida applicable to agreements made and to be entirely performed within the State of Florida, without regard to its conflict of law principles.


19. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms ("Dispute"), the parties agree to first attempt to negotiate the Dispute informally for at least thirty (30) days before initiating arbitration.Informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, the Dispute, except for those disputes expressly excluded below, will be finally and exclusively resolved by binding arbitration.YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU MAY OTHERWISE HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA Consumer Arbitration Rules.Your arbitration fees and share of arbitrator compensation shall be governed by the applicable AAA rules.If such costs are determined by the arbitrator to be excessive under applicable law, we will pay amounts required under applicable law or applicable AAA rules.Arbitration may be conducted in person, by submission of documents, by telephone, video conference, or online where permitted.The arbitrator will issue a written decision.Except where otherwise required by applicable AAA rules or applicable law, arbitration will take place in Polk County, Florida.Except as otherwise provided herein, the parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate, or enter judgment on an arbitration award.If a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the applicable state or federal courts located in Florida, and the parties consent to jurisdiction and venue in those courts, subject to applicable law.Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act is excluded from these Legal Terms.To the extent permitted by law, a Dispute related to the Services must be commenced within one (1) year after the cause of action arose.If this provision is found illegal or unenforceable, the unenforceable portion will be severed and the remaining provisions will continue in effect to the extent permitted by law.

Restrictions

To the full extent permitted by law:

  • arbitration shall be limited to the Dispute between the parties individually;
  • no arbitration shall be joined with another proceeding unless permitted by law;
  • there is no right or authority for a Dispute to be arbitrated on a class-action basis; and
  • there is no right or authority for a Dispute to be brought in a representative capacity on behalf of the general public or other persons.

Exceptions to Informal Negotiations and Arbitration

The following disputes are not subject to the provisions requiring informal negotiations and binding arbitration:

  • disputes seeking to enforce or protect intellectual property rights;
  • disputes arising from theft, piracy, unauthorized access, or unauthorized use; and
  • claims seeking injunctive relief where permitted by law.

20. CORRECTIONS

There may be information on the Services containing typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information.We reserve the right to correct errors, inaccuracies, or omissions and to change or update information on the Services at any time, subject to applicable law.


21. DISCLAIMER
